Luka Global GroupBigCircle Ventures is looking for a Legal Counsel to join our mission to create the next generation of cleantech ventures. The world needs innovations to reach net\-zero and circularity, but a wealth of research inventions never gets used at scale. BigCircle Ventures scouts promising deeptech and turns this into successful startups that tackle the worldâs climate and circularity challenges. We focus on the large, untapped pool of early\-stage innovations that would otherwise stay untouched on a shelf, hidden in a university, research institute or company lab.<\/span><\/span><\/span><\/span>

We are an Amsterdam based cleantech venture builder and fund with a growing, entrepreneurial team with deep expertise in venture building and the energy and materials transition. We are setting up our first ventures and are now ready for further growth and internationalisation. Your role as Legal Counsel<\/b><\/span><\/span><\/span><\/span>
<\/p>
As our first Legal Counsel, your role covers all aspects of our business (at least initially). You therefore collaborate closely with the CEO, experienced venture partners and the wider BigCircle team. Because we are a startup ourselves, you have many opportunities to build up and shape BigCircle. You own the development and execution of our in\-house legal capability.<\/span><\/span><\/span><\/span>

<\/div>Your responsibilities<\/b><\/span><\/span><\/span><\/span>
<\/p>- Develop, lead and execute BigCircleâs in house legal capability<\/span><\/span><\/span><\/span>
<\/p><\/li>- Shape your own role in alignment with the wider team, select and manage service providers, and in due course build up a legal team of 2\-3 people<\/span><\/span><\/span><\/span>
<\/p><\/li> - Own and develop our legal standards and operations, including templates, policies and AI\-tooling<\/span><\/span><\/span><\/span>
<\/p><\/li> <\/ul> - Related to our ventures your work includes negotiating and drafting term sheets and licenses with universities, incorporating ventures across Europe, supporting the ventures in their development (with e.g. templates, governance advice, financing transactions), protecting BigCircleâs position as shareholder of the ventures, and ensuring the ventures are exit ready<\/span><\/span><\/span><\/span>
<\/p><\/li> - For the venture builder corporate organisation your work includes corporate housekeeping, governance (corporate secretary), risk & compliance, general legal advice (including fiscalities), HR and contractor legal, and investor related activities (e.g. funding round closings, cap table management, reporting)<\/span><\/span><\/span><\/span>
<\/p><\/li> - For our fund(s) your work includes fund operations, governance and administration, capital raising and deployment transactions, and fulfilling the formal Risk & Compliance officer role (ranging from assessing proposed transactions to ensuring proper SFDR\-9 reporting)<\/span><\/span><\/span><\/span>

Requirements<\/h3>- You have a masters degree in corporate or business law and significant relevant experience<\/span><\/span><\/span><\/span>
<\/p><\/li> - Ideally you combine a solid foundation in a top\-tier business, advisory, law or investment firm with experience working in a startup environment<\/span><\/span><\/span><\/span>
<\/p><\/li> - You have strong analytical and quantitative skills<\/span><\/span><\/span><\/span>
<\/p><\/li> - You are fluent in English (spoken and written), as we will work all over Europe and beyond (fluency in French, German, Italian or Spanish is a plus)<\/span><\/span><\/span><\/span>
<\/p><\/li> - Your are based within commuting distance from Amsterdam (or willing to relocate), allowing for regular close collaboration in our office<\/span><\/span><\/span><\/span>
